Terms of Service
Last updated: October 6, 2026
These Terms of Service ("Terms") are a binding agreement between you and Common Flips ("Common Flips", "we", "us") governing your use of www.commonflips.com, your member dashboard, our Discord community, alerts, monitors, links, content and any related service (the "Services"). By creating an account, buying a membership, joining our Discord or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.
Important: Section 22 contains a binding arbitration agreement, a jury-trial waiver and a class-action waiver. It affects your legal rights. You can opt out within 30 days of accepting these Terms.
1. Eligibility
You must be at least 18 and able to form a binding contract. By using the Services you confirm that the information you give us is accurate, that you are not barred from using the Services under applicable law or U.S. sanctions, and that you will follow these Terms and the terms of any third-party service you use with them (such as Discord and Stripe).
2. What the Services are
Common Flips is a paid community and information service for people interested in reselling. It may include private Discord channels, product and restock alerts, release information, links, suggested resale values, discussion and educational content. Features, channels, retailers covered, staff and alert speed can change at any time.
We are not an accredited educational institution and we do not issue academic credentials, professional certifications, licences or degrees.
Unless we say so in a signed writing, we are not a retailer, marketplace, broker, investment adviser, financial institution, payment processor, escrow agent, authentication service, or legal, tax or accounting adviser. We are not an agent of any retailer or brand and are not a party to any transaction between you and anyone else.
3. Your account and security
- You sign in with a link sent to your email, and you connect a Discord account to receive access. Keep both accounts secure and do not share sign-in links.
- One membership is for one person. You may not share, sell, rent or transfer your account or access.
- You are responsible for all activity under your account and for the security of your devices, email, Discord, retailer accounts, payment methods and any credentials you choose to share with anyone.
- We are not responsible for losses from phishing, malware, weak or reused passwords, compromised devices, social engineering, or sharing credentials or payment information with another member or third party.
- Leaving or being removed from Discord, deleting an app or ceasing to use the Services does not cancel your subscription. You must cancel through your dashboard (section 5).
- Keep your email address current so we can reach you.
3A. Membership licence
A membership gives you a limited, personal, revocable, non-exclusive, non-transferable right to access the Services during the period you have paid for. It does not transfer ownership of our content, software, data, community, Discord server or business. We may set or change reasonable usage limits and technical requirements.
4. Billing and automatic renewal
- Memberships are subscriptions that renew automatically at the interval and price shown at checkout until you cancel. By subscribing you authorize us and Stripe to charge your payment method each period, plus applicable taxes, and confirm you are allowed to use that payment method. Your bank may update your card details automatically.
- Unless checkout shows a different deadline, you must cancel before the next renewal date to avoid that charge.
- We may change prices with advance notice as required by law, effective from the renewal named in the notice. You can decline by cancelling before it takes effect.
- If a payment fails we may give a short grace period to update your payment method. If it is not resolved, your membership and Discord access may be removed.
- Trials convert to a paid membership when they end unless you cancel first. Trials and promotions may be limited to one per person, email, payment method, Discord account or device, and we may refuse or revoke them if we believe they are being abused.
- Payments are processed by Stripe. We are not responsible for payment-processor outages, declines, frozen accounts, card-network decisions, currency-conversion or bank fees, or the processor's own dispute procedures.
4A. Lifetime memberships
Where we sell a product described as "lifetime", "lifetime access" or similar, "lifetime" means the commercial lifetime of that membership program or service, not the lifetime of the buyer, any owner, founder or employee, or any platform, software or server. A lifetime membership is personal and non-transferable unless we say otherwise. It does not promise that we will operate forever, that you will get every future product or tier, or that particular staff, channels, retailers, tools or features will remain. It may be moved to a reasonably comparable platform or delivery method, and we may change, combine, replace or discontinue features. It stays subject to these Terms, and may be suspended or ended for violations, fraud, abuse, unlawful activity, security risk or account sharing.
5. Cancellation
You can cancel from your member dashboard. Cancelling stops future renewals, and you keep access until the end of the period you have paid for unless your access is ended for a violation. Contacting us does not cancel a membership before an imminent charge unless the cancellation is completed and confirmed before the renewal. The following do not cancel a subscription: leaving Discord, being removed from Discord, deleting software or a social account, removing a card without cancelling, blocking our emails, opening a chargeback, or asking another member or moderator to cancel for you. Keep your cancellation confirmation.
6. Refunds and chargebacks
All sales are final. Refunds, if any, are at our sole discretion and are reduced by payment processing fees, as set out in our Refunds & Cancellation Policy. We do not give refunds or credits for partial or unused periods, failing to cancel before renewal, leaving Discord, missed or late alerts, inaccurate information, unsuccessful purchases, retailer cancellations, lack of profit, or removal for breaking these Terms. A refund in one case does not create a right to one in another. Nothing here limits consumer rights that cannot be waived by law.
Please contact us at [email protected] and give us a reasonable chance to investigate before you dispute a charge with your bank. You may not file a false, fraudulent or bad-faith chargeback. Where the law allows, we may suspend or end access for fraudulent or abusive chargebacks or payment reversals, and you remain responsible for amounts you lawfully owe, including reasonable collection costs.
7. No guarantee of products, profits or results
We do not guarantee that you will get any product, complete any purchase, earn a profit, resell an item, resell it at a suggested price, cover the cost of your membership, avoid losses, avoid retailer account restrictions, or achieve results like any other member. Reselling is speculative and markets change quickly. Availability, demand, prices, fees, shipping, taxes, competition, retailer decisions and platform rules are outside our control. You may lose money on memberships, inventory, shipping, fees and related costs.
Testimonials, screenshots, revenue figures, member results and examples are illustrative only. Past performance does not indicate future results, and results are not typical. Your results depend on your experience, capital, effort, timing, risk tolerance, market conditions and compliance with applicable rules. See also our Disclaimer.
8. Market information and no professional advice
We may share suggested resale ranges, comparable sales, retail prices, demand estimates, commentary and buying ideas. This is general information and education only. We do not promise it is accurate, complete, current or right for you. Asking prices are not completed sales, and past sales do not guarantee future value. You are solely responsible for checking every opportunity, fees and facts, and for deciding whether to buy. Nothing in the Services is legal, tax, accounting, investment or financial advice, and we are not your fiduciary. Speak to a qualified professional about your own situation, including taxes on your income.
9. Alerts, monitors, bots and software
We do not promise that any monitor, bot, webhook, alert, link, integration or tool will stay operational, be accurate, be timely, or be delivered. Retailers and platforms can change websites, queues, anti-bot rules and policies at any time. Alerts may be late, duplicated, incomplete or missing because of outages, rate limits, third-party restrictions, device settings or other causes. We may change, suspend or end any tool or feature without notice, subject to applicable law. If you use any third-party tool to buy items, you do so at your own risk and direction, and you are responsible for your settings, limits, accounts and every order placed through your accounts or payment methods.
9A. Automated checkout and purchasing tools
Where the Services provide, integrate with, recommend or describe tools that automatically cart, check out, monitor accounts or place orders ("Automated Tools"), their use is optional and at your own direction and risk. We do not guarantee that an Automated Tool will add an item to a cart, finish a purchase, pick the right item, size, quantity, variant or price, apply a discount, avoid duplicate orders, stay within a spending limit or retailer purchase limit, avoid payment declines, cancellations or account restrictions, get past queues or CAPTCHAs, keep working with a retailer, or produce any result. Tools may fail, run late, submit duplicate or incorrect orders, act on stale information, or incur shipping, tax and fees. You are solely responsible for your product selections, sizes, quantities, prices, limits, accounts, payment methods, addresses, credentials and settings, and an order placed through your account, device, credentials or payment method is treated as authorized by you. Monitor your accounts and turn off tools you no longer want; turning one off may not stop an order already sent. We do not authorize you to defeat security measures, bypass access controls or queues, evade location limits, use stolen credentials, break purchase limits or retailer rules, or misrepresent your identity. We are not the merchant, seller, ticket issuer, payment processor, fulfillment provider or carrier for anything bought this way, and returns, refunds, cancellations, shipping and disputes must be taken up with the third party.
9B. Artificial intelligence and automated content
We may use automated technology, including artificial intelligence, to help produce alerts, summaries, product descriptions, market commentary, resale estimates, support replies or moderation. Such content can be wrong, incomplete, out of date or misleading. We do not guarantee that it is accurate, current, original, lawful or suitable for you, and you must verify it before relying on it.
10. Third-party sites, retailers and services
The Services link to or rely on retailers, marketplaces, Discord, Stripe and other third parties. We are independent of them and are not sponsored or endorsed by them. A link or mention is not a guarantee, endorsement or promise about availability, price, authenticity or suitability. They control their own inventory, pricing, limits, cancellations, shipping, warranties, refunds, account actions and privacy practices, and your dealings with them are governed by their terms. We are not liable for what they do. You are responsible for following each retailer's and platform's terms and purchase limits and all applicable laws.
10A. Tickets and events
Where the Services discuss or help with tickets or events, you are solely responsible for checking dates, times, venue and seat details, transferability, restricted views, age or entry rules, ticket limits, resale restrictions, price caps, taxes, platform rules and whether a transaction is lawful where you are. Events can be cancelled, postponed, moved or changed. We are not responsible for event changes, invalid or non-transferable tickets, refused entry, platform account actions, unsold or duplicate tickets, wrong seating, price drops, or travel and lodging losses.
11. Dealings between members
Members may talk to, trade with or offer services to each other. Unless we agree otherwise in a signed writing, we are not a party to those arrangements and we do not act as escrow, hold funds, insure transactions, verify identities, authenticate products, supervise anyone's services or guarantee anyone's honesty or performance. Members deal with each other at their own risk. Do not give payment details, retailer logins, personal information or account access to anyone you do not trust. A member's role, reputation or presence in our community is not a warranty or endorsement. We may moderate or remove members, but we are not required to monitor every interaction or prevent every loss.
12. Acceptable use
You agree not to:
- Share, leak, resell, copy or republish member-only alerts, links, content or monitor output, inside or outside Discord.
- Scrape, crawl or extract our data, reverse engineer our software, or use our content, research or methods to build or run a competing service or to train a competing product.
- Bypass access controls, bans, paywalls or limits, or use multiple accounts to evade restrictions.
- Harass, threaten, dox, stalk, impersonate or scam anyone, or post unlawful, defamatory, hateful, obscene or abusive content.
- Spam, advertise or solicit members for competing or unauthorized services.
- Sell counterfeit, stolen or unlawful goods, or break purchase limits through misrepresentation or unlawful conduct.
- Phish, spread malware, probe for vulnerabilities, overload or interfere with the Services, or access anything you are not authorized to.
- Fake testimonials, results or reviews, or abuse referral, discount or trial programs.
- Record private calls or conversations unlawfully, or break the law, retailer or platform terms, or Discord's Terms of Service and Community Guidelines.
This list is illustrative, not complete.
13. Community conduct and moderation
Treat other members respectfully. We may remove content, warn, mute, restrict channels, suspend or ban members, keep evidence, cooperate with payment providers and platforms, and contact law enforcement where we reasonably think conduct is harmful. We have no duty to review every report or prevent every harmful act. Where we remove access for a serious violation, we may not refund unused time.
14. Our intellectual property
The Services and their content belong to us or our licensors and are protected by law. That includes our name and logos, alerts, release information, research, databases, monitor output, software, guides, videos, community structure and promotional material. You get only the limited access in section 3A. You may not reproduce, modify, sell, license, publish, scrape, exploit commercially or create derivative works from our materials without written permission, or remove any notices from them. Unauthorized access or copying may lead to termination and legal action.
15. Your content, testimonials and reviews
"User Content" means messages, images, screenshots, reviews, testimonials, results and anything else you submit or intentionally share in our spaces. You keep ownership of it. You give us a worldwide, non-exclusive, royalty-free, sublicensable licence to host, store, reproduce, display, moderate and use it as reasonably needed to run, secure, improve and promote the Services. If you submit something as a testimonial, success story or review, you also give us a perpetual, irrevocable licence to publish and edit it for promotion, subject to applicable law. You confirm you have the rights to what you submit, that it is true, that it does not break anyone's rights or the law, and that you have disclosed any incentive you received. Testimonials must reflect real experiences. We may remove or decline to use any User Content. These licences apply to content you submit after you accept these Terms, and they do not retroactively reach content submitted earlier unless you previously gave permission or later consent.
16. Affiliate links, sponsorships and promotions
We may earn commissions, fees, free products or other benefits when you click a link, buy something or open an account through content we share. This may influence which offers we feature. It does not mean an offer is suitable for you, available in your area, accurate, profitable or honored by the third party. Review third-party terms yourself. We will add disclosures where the law requires. Giveaways and promotions may have their own rules, which control for that promotion.
16A. Giveaways, contests and promotions
We may run giveaways, contests or promotions with their own official rules, which become part of these Terms and control for that promotion if they conflict. Unless stated otherwise, promotions are void where prohibited, no purchase is necessary where the law requires that, eligibility may be limited by age and location, fraudulent, duplicate or automated entries may be disqualified, winners may need to verify eligibility and are responsible for taxes, prizes are not transferable and may be substituted, and no social platform sponsors or administers our promotions unless stated.
17. Suspension and termination
You may stop using the Services and cancel at any time. We may suspend, restrict or end your access, with or without notice where urgent action is needed, if we reasonably believe you broke these Terms, did not pay, committed fraud or chargeback abuse, shared your account, harmed the community, created a security risk, infringed rights, broke the law, or if a payment provider, platform or law requires it, or if we discontinue the Services. Termination does not cancel amounts already owed. Your licence ends on termination, and sections that by nature should survive will survive.
18. Changes, interruptions and force majeure
We may change, replace, limit or discontinue any part of the Services, including channels, retailers, tools, staff, benefits and pricing. We do not guarantee permanent access to any platform, feature or person. We are not liable for delay or failure caused by events beyond our reasonable control, including outages at Discord, Stripe, hosting or retail providers, cyberattacks, internet or utility failures, natural disasters, public-health events, war, government action and changes in law or third-party policy.
19. Disclaimer of warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TITLE AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted or error-free, that alerts will be timely, that information will be accurate, that links will work, that products will be available, that third parties will honor offers, that data will never be lost, that any item will have resale value, or that the Services will meet your expectations. Some places do not allow certain exclusions, so these apply only to the extent the law permits.
20. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, COMMON FLIPS AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, MODERATORS, AFFILIATES, LICENSORS AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OPPORTUNITIES, INVENTORY, ACCOUNTS, REWARDS OR DATA, MISSED PURCHASES, RETAILER CANCELLATIONS OR ACCOUNT RESTRICTIONS, UNSOLD INVENTORY, MARKET DECLINES, OR LOSSES CAUSED BY ANOTHER MEMBER OR A THIRD PARTY. This applies whatever the legal theory and even if we were told such damages were possible. Our total liability for anything arising from the Services or these Terms will not exceed the greater of (a) what you paid us for the Services in the three months before the event giving rise to the claim, or (b) US$100. These limits do not apply to liability that cannot lawfully be limited.
21. Release and indemnification
To the fullest extent permitted by law, you release us and our owners, staff, contractors and providers from claims arising from retailers, other members, checkout or runner services, vendors, buyers and sellers, marketplaces, payment processors, carriers and other third parties, and from your dealings with them. This release covers claims whether or not you know or suspect them when you accept these Terms, and you waive any law that would limit a general release to known or suspected claims, to the extent such a waiver is allowed (for example, California Civil Code section 1542). You agree to defend, indemnify and hold us harmless from claims, losses and reasonable legal fees arising from your use or misuse of the Services, your purchases, sales and inventory, your content, your dealings with other members, your breach of these Terms or retailer or platform terms, your taxes, your chargebacks, or your violation of any law or third-party right. We may take over the defense of any such matter, and you may not settle it in a way that binds us without our written approval.
22. Dispute resolution, arbitration and class-action waiver
Please read this section carefully. It affects your legal rights.
Informal resolution first
Before starting arbitration or court, the party with the complaint must send a written notice describing the dispute, the account email, Discord username, the transaction or membership involved, and the relief sought. Send notices to us by email to [email protected] with the subject "Notice of Dispute". We will write to the email or address on your account. The parties will try in good faith to settle the dispute for at least 60 days after a complete notice is received, and filing deadlines are paused during that time where the law allows.
Binding individual arbitration
Except for the exceptions below, any dispute arising out of or relating to these Terms, the Services, your membership, billing, advertising or communications, or any earlier version of these Terms, will be resolved by final and binding arbitration on an individual basis, administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, as modified by these Terms. The Federal Arbitration Act governs. A single arbitrator decides, and the arbitrator (not a court) decides questions about the scope and enforceability of this arbitration agreement, except that a court decides the class-action waiver and mass-arbitration provisions. Hearings may be by documents, phone, video or in person. We will not seek our arbitration or legal fees from you unless the arbitrator finds your claim frivolous or brought in bad faith, or the law allows it. Otherwise each side bears its own legal fees unless a statute or contract provides otherwise.
Exceptions
Either side may (a) bring an individual claim in small-claims court, (b) seek temporary or preliminary injunctive relief for unauthorized access, security, intellectual-property infringement or misappropriation, (c) bring a claim the law says cannot be arbitrated, or (d) report to a government agency. Claims of sexual assault or sexual harassment are governed by applicable federal law, including any right you have to choose to bring them in court.
Jury-trial and class-action waiver
If a dispute goes to court instead of arbitration, you and we waive any right to a jury trial. Each of us may bring claims against the other only individually, and not as a plaintiff or class member in any class, collective, consolidated, mass or representative proceeding. The arbitrator may not combine more than one person's claims or award relief to anyone but the individual claimant.
Coordinated filings
If 25 or more substantially similar arbitration demands are filed against us within 180 days by or with the help of the same lawyers or organization, they will be handled in batches of up to ten at a time, beginning with a few cases chosen by each side, with the rest paused (and limitation periods paused) until each batch is resolved and the parties have tried mediation. This is meant to make coordinated claims efficient, not to block genuine individual claims.
Opt out
You may opt out of arbitration within 30 days after you first accept these Terms by sending a signed notice with your full name, account email, Discord username, mailing address and a clear statement that you opt out, by email to [email protected] (subject "Arbitration Opt-Out"). An opt-out applies only to the person who sends it and cannot be sent for many people by one agent or lawyer. Opting out does not affect the rest of these Terms.
Severability
If part of this section is unenforceable it is removed and the rest stays. If a court finally decides the class-action waiver cannot be enforced for a claim or remedy, that claim or remedy will go to court after any arbitrable claims finish. If the ban on class arbitration is unenforceable and cannot be severed, this arbitration agreement does not apply to the affected dispute.
23. Governing law, venue and time limit
These Terms are governed by the laws of the State of New York, United States, without regard to conflict-of-law rules, except where federal law controls or consumer law requires otherwise. For court proceedings allowed under these Terms, you consent to the exclusive jurisdiction of the state and federal courts located in that jurisdiction, except where the law requires another venue. To the extent the law permits, any claim related to the Services or these Terms must be filed within one year after it arose, or it is permanently barred.
24. Privacy and electronic communications
Our Privacy Policy explains how we handle personal information and forms part of these Terms. You agree to receive transactional and legally required messages electronically, including by email, on the website or dashboard, or in Discord, and these satisfy any requirement that notices be in writing. Marketing messages may be subject to separate consent and opt-out.
25. Copyright complaints
We respect intellectual property. If you believe content in the Services infringes your copyright, send a notice with your signature, a description of the work, where the material is, your contact details, a statement that you believe in good faith the use is unauthorized, and a statement under penalty of perjury that the notice is accurate and you are authorized to act, to: Copyright Agent, Common Flips, [email protected]. We may remove material, notify the user, accept a valid counter-notice, and end the access of repeat infringers. Listing these contact details on this page does not by itself complete the separate federal process of designating an agent with the U.S. Copyright Office.
26. Export controls and sanctions
You may not use the Services in violation of U.S. export-control or sanctions laws, and you confirm you are not in a comprehensively sanctioned place, on a prohibited-party list, or acting for someone who is. We may restrict access as needed to comply.
27. Changes to these Terms
We may update these Terms and will post the new version with a new "Last updated" date. For material changes we may also notify you by email, on the Services, at checkout or in Discord, and where required we will ask for your acceptance. If you keep using the Services after a change takes effect, you accept it where the law allows. Changes to section 22 do not apply to a dispute where we had already given each other written notice before the change.
28. General
These Terms, the Privacy Policy, Refunds & Cancellation Policy, Cookie Policy, Disclaimer, any checkout disclosures, plan terms and promotion rules are the entire agreement between you and us about the Services. You may not assign these Terms or your account without our written consent. We may assign them in a merger, acquisition, financing or sale of assets. Our failure to enforce a provision is not a waiver, and a waiver must be in writing and signed by us. If a provision is unenforceable (subject to section 22), it is enforced as far as the law allows and the rest stays in effect. These Terms create no third-party beneficiaries other than the people we protect in sections 19 to 21, and no partnership, joint venture, employment, fiduciary, franchise or agency relationship. Headings are for convenience only.
